Expressions of Interest – Executive Committee

We are now seeking nominations for at least 2 people to join Executive Committee.

The Executive Committee will operate with responsibilities similar to those of commercial boards, so we are seeking individuals with relevant governance experience. It is highly desirable for candidates to have a background in chief executive roles or leadership positions within voluntary membership-based organisations. Ideally, we are looking for senior leaders with experience in managing biosecurity risks within a business context and a solid understanding of the Pledge and its strategic goals.

The Committee meets twice a year, and members will serve a two-year term.

Please note that this is an unpaid position.

Candidates for the committee are required to:

  • Act in good faith and in the best interests of the society
  • Exercise powers for proper purposes only
  • Comply with the Act and your society’s constitution
  • Exercise reasonable care and diligence
  • Not create a substantial risk of serious loss to creditors
  • Not incur an obligation the officer doesn’t reasonably believe the society can perform.

Executive Committee Eligibility

Eligibility for being elected to the Executive Committee will be restricted to current representatives (employees or governors) of paid-up Pledge members. The Executive Committee may determine to co-opt other persons from time to time. Broadly, their leadership competencies would include:

Governance Competencies Behavioural Competencies
Director - medium organisation (10 to 99 employees) Team Player/collaborative
Director - large organisation (100+ employee) Ability and willingness to challenge and probe
Financial literacy Sound judgement and effective decision-making processes
Strategic thinking/planning from a governance perspective Integrity and high ethical standards
Executive performance management - management of the CEO Mentoring abilities
Compliance focus Interpersonal relations
Profile reputation Verbal communication skills and listening skills
Willingness and ability to devote time and energy to the role

Nominations for the Executive Committee will close at 5:00 PM on Friday, 13th September 2024.

Please complete both the nomination form and the consent form and send them via email to Ruth Gilchrist at ruth@agite.nz

Rules to guide the new entity

The objectives in the rules reflect the focus and vision with which the Pledge has operated since its inception, as well as reflect the more formal requirements of an incorporated society.
